Terms of Service

These terms govern your use of Xalorra’s websites and platform services. They are written to be operational: who can use the Services, what’s allowed, what customers control, and where responsibilities start and end.

AGREEMENT AND PRECEDENCE

These Terms of Service (“Terms”) govern your access to and use of Xalorra websites and platform services (collectively, the “Services”). By using the Services, you agree to these Terms.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to the organization.

Order of precedence: If you have an enterprise agreement, DPA, or order form with Xalorra (“Enterprise Terms”), those Enterprise Terms control to the extent they conflict with these Terms.

ELIGIBILITY AND ACCOUNTS

You must be legally able to form a binding contract to use the Services. You are responsible for all activity under your account, including actions taken by users you invite or authorize.

  • Account security: keep credentials secure and use least-privilege access for team members.
  • Accurate information: provide accurate account and contact details and keep them updated.
  • Admin controls: organization admins may be able to access, restrict, or remove user access within a tenant.
SERVICES AND CHANGES

Xalorra provides lakehouse operations, dataset handling, model training/serving, versioned artifacts, and optional gateway-based GenAI workflows. Features may evolve over time.

We may modify, add, or remove features to improve reliability, security, or functionality. Where changes materially reduce functionality of paid Services, we will make commercially reasonable efforts to provide notice consistent with Enterprise Terms (if applicable).

CUSTOMER CONTENT AND OWNERSHIP

“Customer Content” includes datasets, files, SQL queries, configurations, prompts, retrieved context, model artifacts, metrics, and outputs submitted to or produced by the platform under a customer tenant.

Ownership
  • You own Customer Content and retain all rights to it.
  • You grant Xalorra a limited license to host, process, transmit, and display Customer Content only to provide and secure the Services.
  • You are responsible for ensuring you have the rights to upload and process Customer Content (including personal data and regulated data).

The Services are designed around tenant isolation and operational traceability. Depending on your configuration and plan, the platform may store run metadata (e.g., run IDs, timestamps, dataset/model version labels) to support reproducibility and governance.

ACCEPTABLE USE

You agree not to misuse the Services. Misuse includes any activity that is illegal, harmful, or interferes with the security, availability, or integrity of the Services.

Examples of prohibited use
  • Attempting to access other tenants, accounts, or data without authorization.
  • Uploading malicious code, exploiting vulnerabilities, or performing abuse/denial-of-service.
  • Using the Services to infringe rights, distribute illegal content, or facilitate wrongdoing.
  • Reverse engineering or attempting to extract non-public system details beyond lawful limits.
  • Bypassing usage limits, quotas, or security controls.

We may suspend or terminate access for violations, suspected abuse, or security risk—especially where continued access could harm customers or the platform.

GENAI GATEWAY AND MODEL PROVIDERS

Xalorra is not a hosted foundation-model provider. If you enable GenAI workflows, the platform may send prompts and context to external model providers based on your configuration (including bring-your-own-key).

What may be sent
  • Prompt text you submit, plus system instructions configured by your tenant.
  • Retrieved context/snippets (for RAG-style workflows) chosen by your retrieval configuration.
  • Tool parameters and structured inputs necessary to fulfill a request.
Your responsibilities
  • You select providers and are responsible for complying with their terms and policies.
  • You control what content is included in prompts/context and what is logged or retained.
  • You should avoid sending regulated or sensitive data to external providers unless your compliance posture and provider terms permit it.

External providers process data under their own policies. Choose providers and settings that match your risk tolerance and compliance requirements.

SECURITY AND RESPONSIBILITIES

Xalorra implements measures designed to protect the Services, including access controls, monitoring, and tenant isolation boundaries. You are responsible for configuring access, secrets, and data classification appropriate for your environment.

  • Use least-privilege roles and remove access promptly when no longer needed.
  • Protect API keys and credentials, and rotate them when necessary.
  • Validate data you upload and outputs you operationalize (especially for automation).

No system is perfectly secure. If you believe your account or tenant has been compromised, notify us at legal@xalorra.com.

BILLING AND TRIALS

If you purchase paid Services, fees, billing cycles, and taxes are described in the applicable order form or Enterprise Terms. Trials (if offered) may have limits and can be changed or ended at any time.

Unless otherwise specified, fees are non-refundable except where required by law or stated in Enterprise Terms.

CONFIDENTIALITY

In business discussions or procurement, either party may share non-public information. You agree to protect Xalorra’s confidential information using reasonable care and not disclose it except to personnel who need to know and are bound by confidentiality obligations.

If you have Enterprise Terms, confidentiality obligations are typically defined there and will control in case of conflict.

INTELLECTUAL PROPERTY

Xalorra owns and retains all rights in the Services, including software, documentation, design, and platform functionality, excluding Customer Content. You may not copy, modify, or distribute the Services except as permitted by these Terms or Enterprise Terms.

Feedback you provide (suggestions, feature requests) may be used to improve the Services without obligation to you, unless Enterprise Terms state otherwise.

DISCLAIMERS

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Xalorra disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.

Outputs from analytics, ML, and GenAI workflows may be inaccurate or incomplete. You are responsible for evaluating outputs before relying on them in production or decision-making.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Xalorra will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill.

Xalorra’s total liability for claims relating to the Services is limited to the amount paid by you for the Services in the 12 months before the event giving rise to the claim, unless Enterprise Terms specify otherwise.

INDEMNITY

You will indemnify and hold Xalorra harmless from claims arising out of (a) your Customer Content, (b) your use of the Services in violation of these Terms, or (c) your violation of applicable laws or third-party rights.

TERMINATION

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, if required by law, or to address security and safety risks.

Upon termination, your right to use the Services ends. Data handling and deletion processes may depend on your plan, configuration, and Enterprise Terms.

CHANGES TO TERMS

We may update these Terms from time to time. We will post the updated version and revise the “Last updated” date. If changes are material, we may provide additional notice through the Services or other channels where appropriate.
